Terms of Service

By accessing or using Theorify (the “Service”), operated by Theorify (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

Theorify is a multi-model AI workspace that allows users to create visual workflows where each node is a separate conversation with a different AI model (such as GPT-5.2, Claude, Gemini, and others). Context flows automatically between nodes via handoff payloads. A three-tier memory system (global, project, and workstream) persists user preferences and context across sessions.

The Service acts as an intermediary between you and third-party AI model providers. We do not operate, train, or control the underlying AI models. Responses generated by AI models are provided by those third-party services and are subject to their own terms, policies, and limitations.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.

To access most features of the Service, you must create an account. You may register using your email address and a magic link, or through supported authentication providers.

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately at support@theorify.ai if you suspect unauthorized access to your account.

You may not share your account with others, create accounts under false pretenses, or use another person's account without their permission.

You agree not to use the Service in any way that is unlawful, harmful, or prohibited by these Terms. Specifically, you may not:

• Use the Service to generate, transmit, or store illegal content, including content that violates intellectual property rights, is defamatory, obscene, or constitutes harassment, abuse, or threats.
• Abuse, overload, or circumvent rate limits, quotas, or usage policies of the Service or any third-party AI provider integrated within the Service.
• Use automated scripts, bots, or crawlers to scrape, extract, or systematically access content from the Service without our express written permission.
• Attempt to reverse-engineer, decompile, or otherwise derive source code from the Service.
• Use the Service to develop a competing product or service, or to benchmark the Service for publication without prior written consent.
• Introduce malware, viruses, or other harmful code into the Service or its infrastructure.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the Service to generate content that violates the usage policies of any third-party AI provider (OpenAI, Anthropic, Google, Perplexity, or others) whose models you access through the Service.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these acceptable use requirements.

Theorify integrates with third-party AI model providers including but not limited to OpenAI, Anthropic, Google, and Perplexity (collectively, “AI Providers”). When you send a message through the Service, your input and relevant context (including handoff payloads and memory injections) are transmitted to the selected AI Provider for processing. Some AI model requests may be routed through OpenRouter, a third-party API aggregation service, which acts as an intermediary between Theorify and the underlying AI Provider.

By using the Service, you acknowledge and agree that:

• Your conversations and inputs may be sent to AI Providers (directly or via OpenRouter) and are subject to their respective terms of service and privacy policies.
• You are responsible for reviewing and complying with the terms and usage policies of each AI Provider whose models you use through the Service.
• We are not responsible for the accuracy, completeness, legality, or appropriateness of AI-generated outputs.
• AI-generated outputs should not be treated as professional advice. Always verify important information with qualified professionals.

Your content: You retain ownership of all content you create, input, or generate through the Service, including your prompts, conversations, workflow configurations, and memory entries (“User Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely to the extent necessary to provide the Service to you. We do not claim ownership of your User Content and do not sell it to third parties.

Our platform: Theorify and its original content, features, design, and functionality are and will remain the exclusive property of Theorify and its licensors. Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service without our prior written consent.

AI-generated outputs: The copyright status of AI-generated content varies by jurisdiction and is an evolving area of law. We make no representation about the copyright status of AI-generated outputs. You are responsible for ensuring your use of AI-generated content complies with applicable laws.

Theorify offers both a free tier and paid subscription plans. The free tier provides access to select free AI models with no payment required. Paid plans provide access to additional models, higher usage limits, and premium features.

• Subscription plans: Paid plans are billed on a recurring monthly or annual basis at the rates displayed at checkout. By subscribing, you authorize us to charge your payment method on a recurring basis.
• Credits: Some plans include a credit balance used for AI model usage beyond the included allowance. Credits are non-transferable and have no cash value.
• Cancellation: You may cancel your subscription at any time. Your subscription will remain active through the end of the billing period for which you have already paid. We do not provide prorated refunds for unused portions of a billing period.
• Refunds: We offer refunds only in cases of billing errors or as required by applicable law. To request a refund, contact support@theorify.ai within 14 days of the charge.
• Price changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice before price changes take effect for active subscribers.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-generated outputs are not guaranteed to be accurate, complete, reliable, or appropriate for any specific purpose. You should not rely on AI-generated content as professional legal, financial, medical, or other expert advice. Always verify important information with qualified professionals.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEORIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THEORIFY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms.

You may terminate your account at any time by contacting us at support@theorify.ai or through the account deletion option in your settings (if available). Upon termination, your right to use the Service will immediately cease.

Provisions of these Terms that by their nature should survive termination will survive, including Sections 6 (Intellectual Property), 8 (Limitation of Liability), and 10 (Governing Law).

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware.

If you are located outside the United States, you agree to waive any local laws or regulations that would conflict with or circumvent the application of Delaware law or the jurisdiction set forth herein, to the extent permitted by applicable law.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email (if you have provided one) and by updating the effective date at the top of this page. We may also post a notice on the Service.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
